Welcome to atlaslive.tech (the "Site"), owned and operated by Black Ocean B.V., a company registered and established under the laws of Curaçao, with the registered address of Korporaalweg 10, Willemstad, Curaçao ("Atlaslive," "we," "us," or "our").
These Terms of Service ("Terms") govern your access to and use of our Site and the B2B (business-to-business) iGaming software solutions, platform, APIs, and related services we provide (collectively, the "Services").
By accessing the Site or using our Services, you, on behalf of the company or legal entity you represent ("You" or "Operator"), agree to be bound by these Terms. You represent and warrant that you have the legal authority to bind your entity to these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS THE SITE OR USE THE SERVICES.
1. Definition of B2B ServicesAtlaslive is exclusively a B2B software provider. Our Services are designed to provide iGaming operators with the technology and tools to run their own online gaming operations.
The Services include, but are not limited to:● iGaming Platform access (White Label and Turnkey solutions)● Sportsbook API integration● Casino content aggregation● Payment processing gateways, Risk Management, and CRM tools
Crucial Clarification: Atlaslive is not a B2C online casino or gambling operator. We do not interact with, accept wagers from, or process payments for individual players. Our Services are provided solely to licensed business entities.
2. Eligibility and Use of ServicesYou must be a legally registered business entity (e.g., corporation, LLC) in good standing to use our Services. Our Services are not available to individuals acting in a personal capacity.
By agreeing to these Terms, you represent and warrant that:● You are a valid legal entity with the valid gaming license for markets you are going to use our services.● You are not located in, or a resident of, any jurisdiction designated by law as a high-risk, sanctioned and/ or prohibited jurisdiction.● You will use the Services in full compliance with all applicable laws and regulations in your target jurisdictions.
3. Operator Responsibilities and ComplianceAs an Operator using the Atlaslive platform, you are solely and exclusively responsible for the entirety of your business operation. You agree that you are responsible for the following:
● Licensing: You must obtain and maintain, at your own expense, all necessary iGaming licenses, permits, and approvals from the relevant regulatory authorities for each jurisdiction in which you operate. We may require proof of such licensing at any time.● Local regulation requirements: You must control all the requirements from the local authorities and license conditions. All the requests for additional functionality shall be transferred to us as an additional request for software developments services with the detailed technical description. We aren’t obliged and responsible for a license specific requirements for each market you plan to operate, using our services.● Responsible Gambling: You are solely responsible for implementing and enforcing your own effective responsible gambling policies and player protection measures. Our platform provides tools to assist with this (e.g., player limits, self-exclusion), but you retain final responsibility for their implementation and compliance with local laws.● Player Verification (KYC): You must conduct all necessary Know Your Customer (KYC), age verification, and anti-fraud checks on your end-users (players) as required by law.● Prohibition of Minors: You must take all necessary measures to ensure that your services are not marketed to, or accessed by, any individuals under the legal age for gambling in your target jurisdiction (e.g., 18+ or 21+).● Anti-Money Laundering (AML): You must comply with all applicable AML and counter-terrorist financing (CTF) laws and regulations.● Player Funds & Support: You are solely responsible for all interactions with your players, including managing player funds, handling customer support inquiries, and resolving disputes.● Bonus and promo policies: You are fully responsible for bonus and promo policies you propose to your customers. All the fraudulent and risk transactions, player complaints, ADR issues are on your side and responsibility.
4. Intellectual Property RightsThe Site, its content, features, and functionality (including but not limited to all information, software, text, graphics, logos, and the design and arrangement thereof), and the Services themselves are the exclusive property of Atlaslive and its licensors. They are protected by international copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business operations, subject to these Terms and your specific service agreement. You agree not to copy, modify, create derivative works of, publicly display, or republish any of our copyrighted material.
All the cases of using our trademarks and/or business names, should be made only after our written approval. Otherwise any usage of our IP rights, logos and brand name is forbidden.
5. Disclaimer of WarrantiesThe Site and the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied.Atlaslive does not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee that our platform will meet your specific business requirements or that all technical issues can be resolved.
6. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ATLASLIVE, ITS AFFILIATES, OR THEIR LICENSORS, EMPLOYEES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES.
FURTHERMORE, ATLASLIVE SHALL NOT BE LIABLE FOR ANY WARNINGS, COMPLAINTS, JUDGEMENTS, FINES, PENALTIES, OR LOSSES INCURRED BY YOU FROM ANY REGULATORY BODY OR THIRD PARTY ARISING FROM YOUR FAILURE TO COMPLY WITH YOUR LEGAL OBLIGATIONS AS DEFINED IN SECTION 3.
Our total liability to you for any and all claims arising from your use of the Services is limited to the amount you paid us for the Services in the threesix (36) months preceding the claim.
7. IndemnificationYou agree to defend, indemnify, and hold harmless Atlaslive, its affiliates, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
● Your violation of these Terms.● Your use of the Services in a manner not authorized by these Terms.● Your failure to comply with any applicable laws, regulations, or licensing requirements.● Any claims brought by your end-users (players) or any third party against Atlaslive related to your operation.
8. TerminationWe may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
9. Governing Law and JurisdictionThese Terms shall be governed by and construed in accordance with the laws of Curaçao, without regard to its conflict of law provisions.Any legal suit, action, or proceeding arising out of these Terms or the Services shall be instituted exclusively in the courts located in Willemstad, Curaçao.
10. Changes to TermsWe reserve the right, at our sole discretion, to modify or replace these Terms at any time.
